Terms of Service

These Terms of Service ("Terms") govern your access to and use of Circuit KYC Network's services, including our API, dashboard, and documentation (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.


1. Definitions

  • "Circuit," "we," "us," "our" refers to Circuit KYC Network and its affiliates.
  • "You," "your," "Partner" refers to the entity or individual accessing our Services.
  • "API" refers to our application programming interface.
  • "Network" refers to the collective data sharing infrastructure.
  • "End User" refers to your customers whose data you process through our Services.

2. Eligibility

To use our Services, you must:

  • Be a registered business entity in good standing
  • Complete our Know Your Business (KYB) verification process
  • Have the legal authority to bind your organization to these Terms
  • Comply with all applicable laws and regulations

3. Account Registration

3.1 Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 API Keys

  • Keep your API keys secure and confidential
  • Never share API keys publicly or embed them in client-side code
  • You are responsible for all activity under your API keys
  • Notify us immediately of any unauthorized use

4. Permitted Use

4.1 You May:

  • Use the API to verify customer identities
  • Access shared identity data for legitimate KYC purposes
  • Contribute verified identity data to the Network
  • Integrate our SDKs into your applications

4.2 You May Not:

  • Use the Services for illegal purposes
  • Sell, resell, or redistribute API access
  • Reverse engineer or attempt to extract source code
  • Interfere with or disrupt the Services
  • Circumvent rate limits or usage restrictions
  • Use automated tools to scrape data
  • Process data for purposes other than KYC/AML

5. Data Processing

5.1 Your Responsibilities

  • Obtain proper consent from End Users before submitting their data
  • Ensure data accuracy and completeness
  • Comply with data protection laws (GDPR, CCPA, etc.)
  • Implement appropriate security measures
  • Honor data subject access and deletion requests

5.2 Our Responsibilities

  • Process data in accordance with our Privacy Policy
  • Maintain appropriate security measures
  • Provide audit logs for compliance purposes
  • Support GDPR Right to be Forgotten requests

5.3 Data Ownership

  • You retain ownership of data you submit
  • We have a license to process and index submitted data
  • Aggregated, anonymized insights may be used to improve Services

6. Fees and Payment

6.1 Pricing

  • Current pricing is available at circuitkyc.com/pricing
  • We may update pricing with 30 days notice
  • All fees are non-refundable unless stated otherwise

6.2 Credits

  • API operations consume credits as specified in documentation
  • Unused credits do not roll over (except for prepaid packages)
  • Data ingestion is free to encourage network growth

6.3 Payment Terms

  • Subscription fees are billed monthly or annually in advance
  • Credit purchases are charged at time of purchase
  • Overdue accounts may have API access suspended

7. Service Level

7.1 Availability

  • We target 99.9% API uptime
  • Scheduled maintenance will be communicated in advance
  • See our Status Page for real-time availability

7.2 Support

  • Email support included for all plans
  • Priority support for Growth and Enterprise tiers
  • Response times vary by plan tier

8. Intellectual Property

8.1 Our IP

Circuit retains all rights to: - The Services, API, and documentation - Our trademarks, logos, and branding - Algorithms and methodologies

8.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms.


9. Confidentiality

9.1 Confidential Information

Both parties agree to: - Keep confidential information private - Use confidential information only for permitted purposes - Not disclose to third parties without consent

9.2 Exceptions

Confidentiality obligations do not apply to information that: - Is publicly available - Was known prior to disclosure - Is independently developed - Is required to be disclosed by law


10. Warranties and Disclaimers

10.1 Our Warranties

We warrant that: - Services will perform substantially as documented - We have authority to provide the Services - We will use commercially reasonable security measures

10.2 Disclaimers

THE SERVICES ARE PROVIDED "AS IS." WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee: - 100% accuracy of identity data - Uninterrupted or error-free service - Compatibility with all systems


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE PRECEDING 12 MONTHS
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE ARE NOT LIABLE FOR LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION

12. Indemnification

You agree to indemnify and hold Circuit harmless from claims arising from: - Your use of the Services - Your violation of these Terms - Your violation of any law or third-party rights - End User data you submit


13. Termination

13.1 By You

You may terminate at any time by closing your account. No refunds for unused credits or prepaid periods.

13.2 By Us

We may suspend or terminate your access for: - Violation of these Terms - Non-payment - Illegal activity - Risk to the Network or other users

13.3 Effect of Termination

Upon termination: - Your API access will be revoked - Data you submitted may be retained per our retention policy - Pending charges remain due


14. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or dashboard notification. Continued use after changes constitutes acceptance.


15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of Delaware, USA, without regard to conflict of law principles.

15.2 Dispute Resolution

Disputes shall be resolved through binding arbitration in accordance with AAA Commercial Arbitration Rules.

15.3 Entire Agreement

These Terms, along with the Privacy Policy and DPA, constitute the entire agreement between the parties.

15.4 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.5 Assignment

You may not assign these Terms without our consent. We may assign freely.

15.6 Waiver

Failure to enforce any right does not constitute a waiver.
